End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) governs your use of the RS2 Shop Network software, web application, mobile and desktop clients, and any updates (the “Software”), provided by Innova Electronics Corporation (RepairSolutions2 (RS2)). The Software is part of the Service and your use is also subject to our Terms of Service and Privacy Policy. If the EULA and the Terms conflict regarding the Software, this EULA controls.

1. License grant

Subject to your compliance with this EULA and the Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes in operating your Shop on the Service, for the duration of your authorized access.

2. License restrictions

You will not, and will not allow others to:

  • copy, modify, translate, or create derivative works of the Software except as expressly permitted;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the limited extent applicable law expressly permits despite this restriction;
  • rent, lease, lend, sell, sublicense, distribute, or provide the Software to third parties, or use it to build a competing product;
  • remove or alter any proprietary notices, or circumvent license, usage, or security controls;
  • use the Software in violation of the Terms’ acceptable-use rules or applicable law.

3. Ownership

The Software is licensed, not sold. Innova Electronics Corporation and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. No rights are granted except as expressly set out in this EULA.

4. Updates and changes

We may provide updates, upgrades, or modifications to the Software automatically or on notice. This EULA governs all such updates unless accompanied by separate terms. We may add, change, or remove features at our discretion.

5. Third-party and open-source components

The Software may include third-party or open-source components licensed under their own terms. Those terms govern your use of those components and, to the extent required, take precedence over this EULA for those components. A list of such components and licenses is available on request.

6. Privacy and telemetry

The Software collects usage and diagnostic information as described in our Privacy Policy and Cookie Policy, including consent-based analytics. By using the Software you acknowledge that collection and processing.

7. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it or when your access to the Service ends. On termination you must stop using and, where applicable, remove the Software. Sections 2, 3, and 8–10 survive termination.

8. Disclaimer of warranties

The Software is provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Innova Electronics Corporation’s liability arising out of or relating to the Software is subject to the same limitations and caps set out in the Terms of Service.

10. Governing law and contact
